3. Grant of rights
3.1 The Company grants the Partner a non-exclusive, non-transferable, revocable right, during the Term, to use the Brand and the Partner Website solely to provide matrimonial services. 3.2 Website names are allocated on a first-come, first-served basis. 3.3 The Company may refuse, withdraw or reclaim any name that is reserved, misleading, offensive, or infringes a third party's rights or the Brand, and offer an alternative. 3.4 No territorial exclusivity is granted; several Partners may operate in the same area or community.
4. Term, trial and renewal
4.1 The Agreement starts at sign-up with the Trial Period. 4.2 If the Franchise Fee is not paid by the end of the Trial Period, the account, Partner Website name and all Members registered in it are deleted automatically and permanently. 4.3 On payment, the Term is one (1) year from activation. 4.4 The Agreement renews for further one-year terms on payment of the renewal fee before expiry; the Company sends reminders. Unrenewed accounts are suspended and may be deleted after notice.
5. Partner independence
5.1 The Partner is an independent business. Nothing in this Agreement creates an employment, agency, partnership or joint venture. 5.2 The Partner sets her own client prices and keeps 100% of fees she collects from her clients; the Company takes no share. 5.3 The Partner is solely responsible for her own income tax, GST (if applicable to her) and other statutory compliance. 7. Company obligations
The Company will (a) provide and maintain the Platform, Partner Website and dashboard; (b) provide reasonable technical support; (c) provide digital marketing support, brand campaigns, poster templates and videos; (d) run community-wise Zoom meetups; (e) keep Partner ID documents private; and (f) give access to Network search while the Partner is active. 10. Intellectual property and branding
All rights in the Brand, Platform, software, templates, videos and designs remain with the Company. The Partner gets no ownership right and must not register similar names, domains or social handles. On termination she must stop using the Brand. Content the Partner uploads remains hers, licensed to the Company for running the Platform.
